End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Moving Forward Small Business ("Victally," "we," "us," or "our") for the Victally software application and any associated services. By installing, accessing, or using Victally, you agree to be bound by the terms of this EULA. If you do not agree, do not use the application.

1. License Grant

Subject to your compliance with this EULA, Victally grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Victally application on devices you own or control, solely for your personal or internal business financial organization and tax preparation assistance purposes.

2. License Restrictions

You may not, and may not permit others to: (a) copy, distribute, or sublicense the application except as expressly permitted herein; (b) modify, adapt, translate, reverse engineer, decompile, or disassemble the application or any portion thereof; (c) remove, alter, or obscure any proprietary notices, copyright markings, or branding within the application; (d) use the application for any unlawful purpose or in violation of applicable laws; or (e) rent, lease, lend, sell, or otherwise transfer the application to a third party.

3. Intellectual Property

All right, title, and interest in and to the Victally application, including all software, design, content, branding, and associated materials, are and remain the exclusive property of Victally and its licensors. This EULA grants you no rights to any intellectual property other than the limited license expressly set forth in Section 1.

4. User Content & Data

You retain ownership of all financial data, documents, and information you upload or enter into Victally. You grant Victally a limited license to process your data solely for the purpose of providing and improving the application's features. You are responsible for the accuracy and legality of the data you submit.

5. Not Tax, Legal, or Financial Advice

Victally is a software tool for financial organization and tax preparation assistance. It is not a licensed tax advisor, CPA, attorney, or financial advisor. Information, estimates, and AI-generated insights are for informational purposes only and do not constitute professional tax, legal, or financial advice. You should consult a qualified professional before making financial or filing decisions.

6. Subscriptions & Payment

Certain features of Victally require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. Unless otherwise stated, fees are non-refundable except as provided in our applicable refund policy. We reserve the right to modify pricing upon at least 30 days' prior notice.

7. Term & Termination

This EULA is effective upon your first use of the application and continues until terminated. You may terminate this license at any time by discontinuing use and deleting the application. Victally may suspend or terminate your access if you breach any term of this EULA. Upon termination, all licenses granted to you cease immediately.

8. Disclaimer of Warranties

The application is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Victally does not warrant that the application will be error-free, uninterrupted, or that tax estimates or calculations will be accurate or complete.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Victally or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of or inability to use the application, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Victally has been advised of the possibility of such damages.

10. Changes to This EULA

We may update this EULA from time to time. Material changes will be posted within the application or on our website. Your continued use of Victally after changes are posted constitutes your acceptance of the revised terms.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United States and the state in which Moving Forward Small Business is incorporated, without regard to conflict-of-law principles.
